The Legal Director, Corporate Affairs will be responsible for providing the full spectrum of legal advice and services in terms of corporate affairs, notably in connection with Coveo’s corporate governance, compliance with securities laws and the pursuit of strategic initiatives.
Coveo (TSX:CVO) already has a robust legal department dealing with legal operations and regulatory compliance. Reporting to the Vice-President of Legal Affairs, the successful candidate will have the responsibility and freedom to manage and oversee all the corporate aspects of the legal function, including possible acquisitions and corporate secretary.
The Director will ensure that the organization is effectively and efficiently supported by timely counsel and direction, while providing added value to management and helping Coveo reach its business goals. He/she will also ensure that Coveo is well-positioned from a legal and regulatory standpoint to face external factors that could affect Coveo’s current business operations or new initiatives and ventures in the future.
As our Legal Director, you will:
- Advise Coveo’s management and board of directors on complex legal matters and effectively tailor recommendations and solutions to meet business goals;
- Build and manage your team which will be responsible for corporate affairs, corporate governance, compliance and M&A initiatives;
- Develop collaborative working relationships built on trust with various business units in order to provide proper direction, influence and counsel with respect to ancillary legal matters (i.e. public disclosure, employment, litigation, etc.);
- Manage, organize and draft documentation for Coveo’s and its subsidiaries’ board of Directors and their committees;
- Participate in all acquisition and financing activities;
- Support the Investor Relations function.
What we are looking for
As this would be a key position, we have some requirements for the role
Here is what will qualify you for the role
- 4-8 years of working experience obtained at a law firm or in-house; a candidate with the best combination of outside and in-house experience supporting public or technology companies will be preferred;
- Member of the Quebec Bar or equivalent from any Canadian province;
- An expertise and/or deep knowledge in securities laws, corporate law and corporate governance is required;
- Working proficiency in both French and English.
What would make you stand out
- Experience in M&A, finance or the banking industry is an asset;
- A strong entrepreneurial spirit: someone who is not afraid to challenge the status quo and introduce opportunities/solutions and best practices that enhance the Company’s strategic objectives;
- Articulate communicator and capacity to present in front of all levels of management: board of directors, large groups of people, as well as one-to-one;
- Sound judgment and strong decision-making skills with an ability to be a person of influence to the senior leadership team.
