Coveo Relevance Generative Answering Addendum

This Addendum is a part of the order form by which the Customer ordered the Coveo Relevance Generative Answering Extension (the “CRGA Extension”). This Addendum is governed by the agreement between Coveo and Customer (the “Agreement”) and adjusts or supplements certain terms of the Agreement, solely with respect to the CRGA Extension.

Capitalized terms used but not defined in this Addendum have the meanings given to them in the Agreement. In the event of any conflict or discrepancy between this Addendum and the Agreement with respect to the CRGA Extension, this Addendum shall prevail.

CRGA Extension. The CRGA Extension shall be deemed part of the Hosted Services. Unless otherwise specified herein, the provisions of the Agreement applicable to the Hosted Services are applicable to the CRGA Extension.

CRGA Data. Queries, prompt and query context, completions and other information reflecting the use of the CRGA Extension by Customer’s end-users (collectively, “CRGA Data”) shall be deemed Customer Data. Unless otherwise specified herein, the provisions of the Agreement applicable to Customer Data are applicable to CRGA Data.

Instructions. Coveo and its licensors retain all rights, know-how, title and interest, including all intellectual property rights and trade secrets, in the instructions considered by the CRGA Extension, including those instructing the model on the type of completion to generate and how to build it, how to use Customer Data and what to do with the query, and how to behave to generate a completion.

CRGA Data Retention. CRGA Data will not be retained longer than Customer Data.

Training. CRGA Data will not be used by Coveo or any third party for training of, or incorporation into any third party’s AI models or any AI model which will be used by or for any other Coveo customer.

Documentation. Coveo will provide the CRGA Extension in accordance with the applicable documentation describing the Hosted Services, their technical specifications, instructions for operation, entitlements, and permitted use, available at https://docs.coveo.com or a successor URL designated by Coveo (“Documentation”).

Subcontracting. Any third-party used for the provision of the CRGA Extension (each a “Subcontractor”) will be engaged in compliance with the Agreement. Coveo will be liable for the data protection obligations of its Subcontractors to the same extent Coveo would be liable if performing the services of each Subcontractor directly under the terms of the Agreement.

Content Filtering. CRGA Data may be filtered by Coveo’s or a Subcontractor’s content policy using automated means. High severity content may be filtered.
